Scope

GENERAL TERMS AND CONDITIONS FOR SODEXO PREMIUM PASS

 

These Terms and Conditions apply to and regulate the issuance and usage of the Sodexo Premium Pass Celebrations and Sodexo Premium Pass Rewards cards offered jointly by Sodexo SVC India Private Limited (“Sodexo”) and IDFC Bank Limited (“IDFC”). These terms and conditions (the “Terms and Conditions”) shall be in addition to and not in derogation to any other terms as stipulated by Sodexo from time to time.

 

DEFINITIONS

  1. ‘Premium Pass Card(s)’ refers to a RuPay electronic prepaid card issued by 'Sodexo' to the Cardholder on the request of the corporate customer and pursuant to the corporate customer filling the Customer Application Form and fulfillment of all other relevant terms and conditions as stipulated by Sodexo from time to time.
  2. “Card Account" shall mean the account opened in the name of the Cardholder and maintained by Sodexo for the purpose of usage of the Card as per the terms and conditions contained herein
  3. ‘Corporate’ or ‘Customer’ shall mean an organization which instructs 'Sodexo' to issue a Premium Pass for the exclusive use of its employees / business associates etc.
  4. ‘User(s) / Cardholder(s)’ shall mean an employee / business associates of the Customer who has been issued a valid Premium Pass by Sodexo. The terms "you" and "your" refer to employee/ business associates of the Customer who has been issued a valid Sodexo Premium Pass (i.e. the ultimate beneficiary or the “Cardholder”)
  5. ‘Valid Premium Pass’ shall mean Premium Pass issued by Sodexo; not expired or mutilated or altered and conforms to Issuers guidelines or instructions issued from time to time.
  6. ‘PIN’ shall mean the 4-digit Personal Identification Number which will be handed over along with the Premium Pass in a secured and sealed kit. The cardholder will be prompted to enter this PIN at the time of transaction.
  7. "Merchant Establishment" shall mean such physical or online establishments, located in India, which honor a RuPay prepaid card shall include, among others, stores, shops, restaurants, hotels (whether retailers, distributors or manufacturers including retail stores and online merchants.
  8. "Merchant" means any person who owns or manages or operates a Merchant Establishment.
  9. "POS Terminal " means the point of sale (POS) electronic terminals at Merchant Establishments in India, capable of processing card transactions and at which, the Cardholder can use his Card to access the funds from the Card Account held with Sodexo.
  10. "Shared Network" shall mean RuPay networks which honor the Card.
  11. "Transactions" shall mean any instruction given by a Cardholder using a Card directly or indirectly to Sodexo to effect a transaction.

 

CARD ACTIVATION & VALIDITY

The Card is sent in an inactive mode for security purposes and must be activated before you can use it. You can activate your card online or via SMS. (Please refer to the FAQ section for more information on the card activation).
Once your Card is activated, it may be used to make purchases until the “Validity” date printed on the Card. The Card is valid up to the expiry date exposed on the face of the card. On that date, unless prohibited by applicable law, the Card and any available balance will expire and you can no longer use the Card or access the available balance.
Premium Pass Celebrations: Up to a maximum of one year
Premium Pass Rewards: Up to a maximum three years
Sodexo may at any time with or without notice as to circumstances in Sodexo’s absolute discretion require terminate the Card.

 

CARD USAGE

The Sodexo Premium Pass is issued on the RuPay platform and can be used at merchant outlets across the country accepting RuPay Cards - including retail stores and online merchants. Please note that Sodexo Premium Pass is usable in India only. International purchases and purchases from International sites are restricted.
The Card is for electronic use only as in the case of the charge slip/ sales slip printed electronically from the POS terminal. The Cardholder will need to enter the 4-digit PIN at the time of transactions. The Cardholder may sign a sales slip whenever the Card is used at a Merchant Establishment and should retain his copy. The facility of balance transfer from one Card to another, cash withdrawal or deposit is not allowed at ATM, point-of-sale or merchant location shall not be available on the Premium Pass. No interest shall be payable by Sodexo on the amount available / loaded on the Card. Sodexo accepts no responsibility for any surcharge levied by a Merchant and debited to the Card Account.
The Merchant will obtain authorization for the amount of your purchase. A purchase will not be authorized if it exceeds the available balance. However, if such a transaction is authorized, due to systems malfunction or any other reason, you are liable for and agree to pay immediately the difference between the available balance and the transaction amount.

  1. the Card is reported lost or stolen;
  2. we are uncertain whether the transaction is authorized by you
  3. the card is expired or the available balance is not sufficient;
  4. We may temporarily “freeze” the Card and attempt to contact you if we note transactions that are unusual or appear suspicious.

You are responsible for safeguarding the Card and do not have the right to stop payment on any transaction originated by use of your Card. The card will at all point of time remain the property of Sodexo and the Cardholder needs to return the card to Sodexo whenever requested. In case the User is in receipt of lost or misplaced card, the same will be handed over to Sodexo.

 

 

STATEMENTS AND RECORDS

Sodexo will not generate any card statements (Physical/ PDF) that will be sent across to the Cardholder, but all Cardholders can log onto the Cardholder Portal (visit the Sodexo Users section on the Sodexo website www.sodexobenfitsindia.com) to view and download card transaction history. Cardholder can also view card transactions using the mobile application. However, SMS or e-mail alerts will be sent to the mobile number/ e-mail ID of registered Cardholders against certain card activity.

 

NOTIFICATION OF ERROR

The Cardholder agrees to bring all disputes about a Transaction or entry in the Card Account to the notice of Sodexo within 15 days from the date of such Transaction or entry, in absence of which all Transaction and Card Account entries shall be constructed as correct and accepted by the Cardholder. The Cardholder can notify Sodexo in writing (cardsupport.in@sodexo.com) or should via Customer Service (Contact Numbers: 1800 103 3030/ 1800 267 3030). Sodexo will conduct a thorough investigation and revert with the findings, and our findings shall be final and conclusive.

 

SAFE KEEP OF THE CARD

Keep your Card and PIN in a safe place. Keep the PIN separate from your Card and do not give or otherwise make available to others your Card or PIN. You should sign on the reverse of the Card immediately upon receipt. Sodexo will NOT entertain any fraud or ZERO LIABILITY claims for Sodexo Premium Pass.

 

LOST OR STOLEN CARDS / CARD BLOCKING AND REPLACEMENT

In case the Sodexo Premium Pass is misplaced/stolen or otherwise lost, the Cardholder must immediately report the same to Sodexo by calling Customer Service (Contact Numbers: 1800 103 3030/ 1800 267 3030) for blocking the Card. The Cardholder may also block the Sodexo Premium Pass by logging into the Cardholder Portal (visit the Sodexo Users section on the Sodexo website www.sodexobenfitsindia.com) or via the mobile app.
Blocking the card in this manner is the best way of minimizing potential losses. Sodexo shall not be liable for any loss by the misuse of the card. Sodexo will replace a card with balance that was available on the blocked card only on request from the registered Cardholder post authentication. Such replacement would attract applicable charges as communicated to the Cardholder in the welcome letter and the card replacement request will be fulfilled only on realizing these charges form the card balance.

 

CARD CANCELLATION AND REFUND

The Card issued to you shall remain the property of Sodexo and shall be surrendered to Sodexo, on request. Once issued, a card can only be cancelled by the Customer and not the Cardholder. Under no circumstances will Sodexo entertain card cancellation and refund requests directly from the Cardholder. If a Customer requests Sodexo to cancel an active card the same will be communicated to you. Once a card is cancelled the Cardholder must destroy the card or return it to Sodexo.

 

LIMITATIONS ON OUR LIABILITY

Sodexo is not responsible or liable for any special, indirect, incidental, consequential, punitive or exemplary damages, including, but not limited to, lost profits in connection with this arrangement.

 

MODIFICATION, CANCELLATION AND WAIVER

Except where prohibited by applicable law, we may cancel or modify any terms, conditions, or services related to use of the Sodexo Premium Pass including any part of this Agreement without notice to you. We may delay or waive any right at any time but such delay or waiver shall not affect exercise of those rights in the future. COMPLIANCE WITH LAW

The Sodexo Premium Pass is governed by the Reserve Bank of India (“RBI”) guidelines and is also subject to directions/instructions issued by the regulators from time to time and Sodexo is not responsible or liable for any violation of applicable laws by the User. All transactions done using the Sodexo Premium Pass are subject to applicable Indian laws. The User shall not use the Card for any unlawful activity. By using this Card, the User(s) hereby declare that his/ her name does not, at any time, appear in the consolidated list of Terrorist Individuals Organizations as circulated by RBI from time to time.

 

DATA PROTECTION AND PRIVACY

During any Customer Service call, we may request for information such as your phone number, date of birth, and postal code that you have provided to Sodexo at the time of registration. We may also obtain personal information about you, including information

  1. provided to us by the Customer, such as your name and/or your address,
  2. provided by you at the time of activation/ KYC submission or during Customer service calls, and about purchases made with the Card, such as the date, the amount and the place of purchase. For purposes of fraud prevention and regulatory compliance, we may also obtain information from providers of identity verification data and demographic information.

We will use this information to process Card transactions, provide Customer service, enhance usage at Merchants, process claims for lost or stolen Cards and help protect against fraud. We may also use such Information for marketing purposes and to conduct research and analysis. We may provide certain Information to others outside of Sodexo as permitted by any law, such as to government entities or other third parties as required by any law. We may develop marketing programs and send you offer for products and services. We do not share Cardholder Information including Cardholder addresses and mobile numbers with other companies for them to market their own products and services. We may also be required to disclose information to RBI or such other authority as may be required by RBI or under any other applicable law, relating to you and/or to the transactions entered using the Sodexo Premium Pass.
Telephone Monitoring/Recording: From time to time we may monitor and /or record telephone calls between you and Customer Service Executive to assure the quality of our Customer service or as required by applicable law.

 

 

NO WARRANTIES

We are not responsible or liable to you

  1. for any loss or misuse of the Card,
  2. for any interruption of Card service,
  3. for the quality, safety, legality, or any other aspect of the products and services purchased from any Merchant with the Card. If a Merchant fails to honor the Card or provide special offers given to other Bank Cardholders, please notify Customer Service Services at 1800 103 3030/ 1800 267 3030 or write to us at cardsupport.in@sodexo.com to report the incident immediately.

If you have a complaint with any purchase made with the Card, or a dispute with a Merchant, you must try and directly resolve the same with the Merchant involved to the best of your ability. However, the Cardholder should notify Sodexo of this complaint immediately. We will do a thorough investigation and revert with the findings and our findings shall be final and conclusive.

 

 

APPLICABLE LAW AND JURISDICTION

These Terms and Conditions and the Card, and all questions about their legality, enforceability and interpretation, are governed by the Indian laws and shall be subject to the sole and exclusive jurisdiction of Mumbai courts only.

 

YOUR AGREEMENT TO BE BOUND BY THESE TERMS AND CONDITIONS

By obtaining the Card or by signing the back of the Card or by using the Card, you agree to be bound by these Terms and Conditions in their entirety and agree to comply with applicable law at all times. The Card must be signed before use. The primary responsibility to ensure compliance with these Terms & Conditions by the Cardholder shall lie with the User of the Card.

During the term of the arrangement, Sodexo SVC India Private Limited (“Sodexo”) and IDFC Bank Limited (“IDFC”) jointly will be your exclusive provider of the Services. Please note that IDFC is the BIN sponsor and is only responsible for settlement activities and chargeback related roles and responsibilities. All other Services under the Transaction Documents are solely and completely provided Sodexo to the complete exclusion of IDFC.
